1. AGREEMENT TO OUR LEGAL TERMS
We are March Global Inc., a Delaware C Corp doing business as Basion (“Basion,” “we,” “us,” or “our”), with offices at 2261 Market Street, STE 22009, San Francisco, CA 94114, United States. You can contact us at service@basion.ai.
These Terms of Service (the “Terms”) govern your access to and use of our website at https://basion.ai and any related products and services that link to these Terms (collectively, the “Services”).
By creating an account or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Notice, which is incorporated by reference. If you do not agree, do not use the Services.
We may update these Terms from time to time by changing the “Last updated” date and posting the revised Terms on our website. Your continued use of the Services after we post updated Terms constitutes your acceptance of the updated Terms. If we make material changes, we will use reasonable efforts to notify you, such as by email or by an in-product notice.
2. ABOUT OUR SERVICES
Basion is a platform that helps caregivers and patient advocates manage life with a genetic or rare disease, including by providing educational information, navigation support, and AI-assisted tools that help organize health information and identify options for care.
Basion processes health information, including Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”). Our handling of PHI is described in our Privacy Notice and, where applicable, governed by Business Associate Agreements with the relevant Covered Entities.
The Services are operated from the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
3. IMPORTANT HEALTHCARE DISCLAIMERS
The Services are not medical advice. Information and recommendations provided through the Services, including by our AI tools, are for educational and informational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider regarding any questions about a medical condition or treatment.
No physician-patient relationship. Use of the Services does not create a physician-patient relationship between you (or any Patient on whose behalf you act) and Basion. We do not provide medical care.
AI tools may be wrong. The Services include AI-powered tools that may produce inaccurate, incomplete, or outdated information. Do not rely on AI output as the sole basis for any healthcare decision. Always verify important information with a qualified healthcare provider.
Not for emergencies. The Services are not intended for use in medical emergencies. If you believe you or a Patient is experiencing a medical emergency, call 911 or your local emergency services immediately. Do not use the Services to seek emergency care.
No clinical decision-making. The Services are not intended to be used by healthcare professionals to make clinical decisions about patient care. Healthcare professionals using the Services do so on their own judgment and at their own risk.
Information you provide is not verified by us. We do not independently verify the accuracy of health information that you or any other person provides through the Services. The accuracy of insights generated by the Services depends on the accuracy of the information provided to us.
4. ELIGIBILITY AND USER REPRESENTATIONS
The Services are designed for use by adults who are at least 18 years of age and who act as caregivers or patient advocates on behalf of a person living with a genetic or rare disease (a “Patient”), or who are themselves an adult Patient. We refer to the account holder as a “Caregiver,” whether the account holder is acting on behalf of a Patient or on their own behalf.
By creating an account or using the Services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into these Terms;
- All registration information you provide is true, accurate, current, and complete, and you will keep it updated;
- If you are using the Services on behalf of a Patient who is not yourself, you have legal authority to do so (for example, as a parent, legal guardian, or holder of a healthcare power of attorney) and to consent to our processing of the Patient’s information as described in our Privacy Notice;
- You will use the Services only for the purposes for which we make them available, and only in compliance with these Terms and applicable law;
- You will not access the Services through automated or non-human means, including bots or scrapers; and
- Your use of the Services will not violate any applicable law, regulation, or third-party right.
If you lose the legal authority to act on behalf of a Patient — for example, because a minor reaches the age of majority, or a healthcare power of attorney is revoked — you agree to notify us promptly and to stop sharing the Patient’s information through the Services.
5. ACCOUNT REGISTRATION
You may need to create an account to use certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at service@basion.ai if you suspect unauthorized use of your account.
We reserve the right to remove, reclaim, or change a username if we determine, in our reasonable discretion, that the username is inappropriate or otherwise objectionable.
The Services are currently provided free of charge. If we introduce paid features in the future, we will provide notice and obtain your consent before charging you.
6. PRIVACY
Our Privacy Notice, available at https://basion.ai/privacy, describes how we collect, use, share, and protect personal information, including health information about Caregivers and Patients. By using the Services, you acknowledge that you have read and understood the Privacy Notice.
7. ACCEPTABLE USE
You agree not to:
- Use the Services in any manner that violates applicable law or regulation, including health information privacy laws;
- Impersonate another person or misrepresent your authority to act on behalf of a Patient;
- Submit information that is false, fraudulent, or that you do not have the right to share;
- Attempt to access any account or data other than your own without authorization;
- Interfere with, disrupt, or impose an undue burden on the Services, our systems, or the networks connected to the Services;
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Services, except to the extent permitted by applicable law;
- Use any automated means (including bots, scrapers, or data-mining tools) to access, collect, or extract content or data from the Services, other than search-engine indexing of public pages;
- Use the Services, including any AI tools, to develop, train, or improve any competing product, service, or model;
- Use the Services to harass, threaten, defame, or harm any other person, including any other user;
- Use the Services for any commercial purpose, other than as expressly permitted by us in writing; or
- Circumvent, disable, or otherwise interfere with security or access controls of the Services.
We may suspend or terminate your account if we reasonably believe you have violated these Terms.
8. CONNECTIONS TO OTHER USERS
The Services may, with your consent, connect you with other Caregivers or Patients who have shared experiences relevant to your situation (a “Connection”). For example, our AI tools may suggest a Connection with another Caregiver navigating the same disease or stage of care.
A Connection is established only when both parties have given explicit consent, and only the information that you and the other party each choose to share is exchanged. We do not disclose your identity or your Patient’s identity to another user without your consent.
Once a Connection is established, you are communicating directly with another person, not with Basion. We do not monitor, control, or take responsibility for the content of communications between you and any other user. You communicate with other users at your own risk.
When connected with another user, you agree to:
- Treat the other user with respect;
- Not harass, threaten, defame, deceive, or attempt to exploit the other user;
- Not solicit money, donations, medical products, or services from the other user;
- Not share personal contact information (such as phone number, address, or social media accounts) of any third party without that third party’s consent; and
- Report any abusive or concerning behavior to us at service@basion.ai.
We reserve the right to suspend or terminate the Connection feature for any user who violates these expectations.
9. INTELLECTUAL PROPERTY
Our intellectual property
We own or license all rights in the Services, including all content, software, designs, graphics, and trademarks (collectively, “Our Content”). Our Content is protected by intellectual property laws in the United States and internationally.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use as a Caregiver. This license does not include any right to copy, modify, distribute, sell, or create derivative works of Our Content.
We reserve all rights not expressly granted in these Terms.
Your content
You retain ownership of any information you submit to the Services, including information about a Patient (collectively, “Your Content”). By submitting Your Content, you grant us a limited license to use Your Content solely as necessary to provide the Services to you, to operate and improve the Services in accordance with our Privacy Notice, and to comply with applicable law. We do not claim ownership of Your Content.
We do not use Your Content to train, fine-tune, evaluate, or improve any artificial intelligence or machine learning model, except as expressly permitted by our Privacy Notice or with your explicit consent.
Feedback
If you send us suggestions, ideas, or feedback about the Services (“Feedback”), you agree that we may use the Feedback for any lawful purpose without compensation or obligation to you. We will not use Feedback in a way that identifies you without your consent.
10. THIRD-PARTY SERVICES AND CONTENT
The Services may include links to, or integrations with, third-party websites, services, or content that are not owned or controlled by us (“Third-Party Services”). We do not endorse, monitor, or take responsibility for any Third-Party Services. Your use of any Third-Party Service is governed by the terms and policies of that third party, and is at your own risk.
11. SERVICES MANAGEMENT
We reserve the right (but not the obligation) to:
- Monitor the Services for compliance with these Terms;
- Take legal action against any person who, in our reasonable judgment, violates these Terms or applicable law;
- Refuse, restrict, or remove any content that violates these Terms or that we reasonably believe is harmful;
- Manage the Services in a manner designed to protect our rights and to facilitate the proper functioning of the Services.
12. MODIFICATIONS AND INTERRUPTIONS
We may change, update, or discontinue any aspect of the Services at any time, in our reasonable discretion. We will use commercially reasonable efforts to provide notice of material changes that affect the way you use the Services.
We do not guarantee that the Services will be available without interruption. We may experience hardware, software, or network issues that result in delays or errors. We are not liable for any loss or inconvenience caused by your inability to access or use the Services during downtime.
13. TERM AND TERMINATION
These Terms remain in effect while you use the Services.
You may terminate your account at any time by following the deletion instructions in your account settings or by contacting us at service@basion.ai.
We may suspend or terminate your account or your access to the Services at any time if we reasonably believe you have violated these Terms or applicable law, or if continuing to provide the Services to you would expose us or any other person to legal or operational risk. Where reasonably practicable, we will provide notice and an opportunity to address the concern before terminating, except in cases of serious or repeated violations.
Sections that by their nature should survive termination — including Sections 3 (Healthcare Disclaimers), 9 (Intellectual Property), 14 (Disclaimer), 15 (Limitation of Liability), 16 (Indemnification), and 17 (Dispute Resolution) — will survive.
Termination of your account does not affect any rights or obligations that accrued before termination, and does not affect our handling of your information, which continues to be governed by our Privacy Notice.
14. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT INFORMATION PROVIDED THROUGH THE SERVICES (INCLUDING AI-GENERATED OUTPUT) WILL BE ACCURATE, COMPLETE, OR CURRENT.
WITHOUT LIMITING THE FOREGOING, AND CONSISTENT WITH SECTION 3, THE SERVICES ARE NOT MEDICAL ADVICE AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL HEALTHCARE.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BASION OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. IF APPLICABLE LAW LIMITS THE EFFECT OF THESE PROVISIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Basion and its directors, officers, employees, and agents from and against any third-party claims, losses, damages, liabilities, and reasonable attorneys’ fees arising out of or relating to (a) your breach of these Terms, including the representations in Section 4 regarding your authority to act on behalf of a Patient, (b) your violation of any applicable law or any third party’s rights, or (c) your misuse of the Services.
We will use reasonable efforts to notify you of any claim subject to indemnification. We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.
17. DISPUTE RESOLUTION AND GOVERNING LAW
Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
Informal resolution
Before filing any formal legal action, you agree to first contact us at service@basion.ai and attempt in good faith to resolve any dispute informally for at least thirty (30) days.
Binding arbitration
If we cannot resolve a dispute informally, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in San Francisco, California, or by remote means at the arbitrator’s discretion. The arbitrator’s decision will be final and binding.
YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU AND BASION ARE EACH WAIVING THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
Exceptions
The following matters are not subject to arbitration: (a) claims to enforce or protect intellectual property rights; (b) claims for injunctive relief; (c) claims that may be brought only in small claims court; and (d) any other matter that cannot lawfully be subject to arbitration.
Class action waiver
To the fullest extent permitted by law, you and Basion each waive the right to participate in any class, collective, or representative action against the other.
Time to bring claims
Any claim arising out of or relating to these Terms or the Services must be brought within the period required by applicable law. Where applicable law permits the parties to agree to a shorter period, claims must be brought within two (2) years after the cause of action arose.
18. CALIFORNIA RESIDENTS
If you are a California resident and have a complaint that is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, by telephone at (800) 952-5210, or as otherwise published by the agency.
19. ELECTRONIC COMMUNICATIONS AND SIGNATURES
By using the Services, you consent to receive communications from us electronically (including by email and through the Services) and agree that all agreements, notices, and disclosures we provide to you electronically satisfy any legal requirement that those communications be in writing. You also consent to the use of electronic signatures and records.
20. MISCELLANEOUS
Entire agreement. These Terms and the Privacy Notice constitute the entire agreement between you and Basion regarding the Services and supersede any prior agreements.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.
Assignment. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law. You may not assign these Terms without our prior written consent.
No agency. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Basion.
Force majeure. We are not liable for any failure to perform due to causes beyond our reasonable control.
